3 Key Consulting is hiring CLM (Contract Lifecycle Management) Specialist/Business Analyst for a consulting engagement with our direct client, a leading global bio-pharmaceutical company.
Job Summary and Scope: The Contract Lifecycle Management (CLM) project is one of four workstreams under the larger Evolving Financial Management Program. The CLM project will establish a new contract generation through contract storage solution for procurement agreements with capabilities for Global Strategic Sourcing (GSS) to track Obligation and Contract Compliance Management for these agreements. Consideration is also being given to moving Enterprise non-clinical Confidential Disclosure Agreement (CDA) request, generation, workflow, and eSignature to this solution. The decision to move CDAs to the new solution will be based on the success of the initial phase of the CLM effort and the viability of the overall solution.
The CLM solution will also provide an opportunity to establish a new contract negotiation workflow that will allow interaction between Law, GSS (Global Strategic Sourcing) and the external party for contract negotiations. This will include the integration of existing fall back language in Law’s Contract Negotiation guide and a contract review capability to identify areas of interest between the baseline and redlined version of the negotiated contracts. The contract review capability is also being evaluated for use of comparing non-procurement (e.g., Clinical) agreement baseline templates to redlined versions of contracts from suppliers with the intent to enable a more automated review of terms in negotiated agreements for other Law contracting teams.
We are seeking a Senior Associate - Law Operations / Business Analyst who will serve as a key resource in helping transition from our Client’s existing contract generation solution to the new CLM solution. They will work closely with the Law Operations team, Law stakeholders, Information Systems and CLM team to help design, implement and test the new CLM solution specifically related to the Contract Generation and Negotiation capabilities. They will help to deliver these capabilities in a manner that is scalable, secure, and aligns to best practices.
Tasks/Deliverables: The following is a list of tasks and deliverables this role will be responsible for conducting and delivering during this engagement. This list is meant to serve as guidance for the role but additional tasks may be asked of the role as the project matures:
Evaluate in-scope interviews, templates & clauses to identify updates required to transition to the new platform
Participate in design sessions for the contract generation and negotiation workflows
Identify changes or enhancements to the contract generation and negotiation capabilities and processes that enhance flexibility and agility in implementation and use
Assist with building and testing contract request intake interviews to ensure business requirements are met
Assist with conversion/migration of contract clauses and templates to the new solution to ensure business requirements are met
Assist with implementation and integration of the negotiation guide and fallback clauses into the new solution
Test contract negotiation workflows and utilization of fall back clauses to ensure business requirements are met
Support user acceptance testing of contract generation and negotiation
Draft a reference guide to document how to update and maintain interview questions, contract clauses, templates, negotiation workflows, fall back clauses and associated metadata
Build and maintain a map of contract clauses and templates supported in the new solution
Assist with development of training materials for Law users of the new CLM solution
Participate in project meetings
Work closely with the Law Operations team and Law’s Contracting Advisor and Subject Matter Expert for the project when questions arise and for review of solution
Communicate with Law project team on design and decision points for awareness, input, and final decision
Coordinate and liaise with supplier, GSS and IS partners during the implementation and testing of the CLM solution
This role may also be called upon to assist the Law Operations team at the discretion of the Director Law Operations
